Terms of Service

Last Updated: September 26, 2026

1. Introduction and Agreement

Welcome to Carrier Refund ("Platform", "we", "us", or "our"), accessible at agentcarrierrefund.com. By accessing or using our automated logistics dispute and API services, you ("Merchant", "Client", or "User") agree to be bound by these Terms of Service. Carrier Refund operates exclusively as a Business-to-Business (B2B) service provider. If you do not agree to these terms, you must not use the Platform.

Transition of Corporate Entity: The Platform is currently operated under a commercial trade name by its founding ownership. We reserve the absolute right to assign, transfer, or delegate these Terms of Service, along with all associated rights and obligations, to a newly formed Limited Liability Company (LLC) or corporate entity at any time, without requiring re-execution of this agreement. Continued use of the Platform following such assignment constitutes acceptance of the new corporate entity as the contracting party.

2. Description of Services & AI Autonomy

Carrier Refund provides an enterprise orchestration system that integrates with e-commerce environments (e.g., Shopify) to track logistical shipments and automatically generate and file refund disputes against shipping carriers for Service Level Agreement (SLA) breaches.

  • Data-Driven Disputes: Our advanced artificial intelligence models (including Google AI infrastructure) formulate dispute claims based strictly on mathematical logistics data, shipping carrier SLAs, and legal frameworks. The AI is programmed to maintain a factual, objective, and professional standard, excluding any emotional or unfounded claims.
  • No Guarantee of Carrier Approval: While our system maximizes the probability of success through statistical matrices, we do not guarantee that third-party carriers will approve any specific refund request.
  • Account Integrity: The Merchant agrees that Carrier Refund is acting as an authorized technical agent to file these claims. The Merchant holds Carrier Refund harmless for any subsequent actions taken by carriers regarding the Merchant's shipping accounts.

3. Pre-Paid Wallet and Platform Credits

Access to our dispute resolution engine operates on a pre-paid wallet architecture. Monthly subscriptions are not required; however, liquidity must be maintained to process actions.

  • Credit Allocation: Upon the detection of an SLA breach and the automated initiation of a dispute, the applicable Success Fee is immediately allocated as pending from the Merchant's pre-paid wallet balance.
  • Capture or Release: If the dispute is successful and the carrier issues a refund to the Merchant, the pending credits are permanently captured as our Success Fee. If the dispute is definitively rejected by the carrier, the pending credits are atomically released back into the Merchant's available wallet balance.
  • Top-Ups: All top-up deposits into the Merchant wallet are final and subject to our Refund Policy.

4. Limitation of Liability and "As-Is" Disclaimer

The Platform is provided on an "AS-IS" and "AS-AVAILABLE" basis. We disclaim all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.

Maximum Liability: To the maximum extent permitted by applicable law, the founders, operators, and any future assigned corporate entities of Carrier Refund shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. In no event shall our total aggregate liability for all claims arising out of or related to these Terms exceed the total amount paid by the Merchant to Carrier Refund in the three (3) months immediately preceding the event giving rise to the claim. This strict limitation of liability is a fundamental element of the basis of the bargain between Carrier Refund and the Merchant.

5. Governing Law and Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, or interpretation thereof, shall be determined by binding arbitration. The arbitration shall be conducted digitally/online to accommodate the international nature of our B2B operations. The Merchant waives any right to bring claims as a plaintiff or class member in any purported class or representative proceeding.
